Our Appendix 4G and Corporate Governance Statement for the year ended 30 June 2026 are now available, setting out how our governance practices measure up against the ASX Corporate Governance Council's recommendations. We wanted to give you a plain-English rundown of what's in it.

Most of the framework you'd expect from a company our size is in place: a board charter, code of conduct, whistleblower and anti-bribery policies, a continuous disclosure policy, and a shareholder communications programme that includes proxy and online voting at meetings. Our CEO and CFO also sign off on the integrity of our financial statements before the board approves them.

Given our current size, we don't run separate board committees for audit, risk, remuneration or nominations. Instead, the full board carries out those functions directly. We think this is the right call while the company is this size, but we want to be upfront that it's a departure from the recommended structure.

A few other points worth flagging: only 2 of our 4 directors were independent during the year, so we didn't have an independent majority for the full period, though the board considers 50% independence appropriate given our scale. We also didn't complete formal performance evaluations for the board or senior executives this year, didn't set measurable gender diversity objectives, and didn't conduct a formal annual review of our risk management framework, though the board says it monitors key risks on an ongoing basis. None of these are unusual for a company at our stage, but they're all explained in full in the statement.
